Professional Experience

Jacklyne is a highly experienced corporate and tax lawyer combining expertise in Corporate, Commercial and Technology Transactions Law; Taxation; Intellectual Property and Innovation Law; and Banking & Finance to deliver strategic, business-focused solutions.

In her corporate and commercial practice, Jacklyne advises individuals, entrepreneurs, and multinational corporations on matters ranging from incorporations and market entry to complex restructurings, including mergers and acquisitions, takeovers, business transfers, and debt-to-equity conversions. She is well regarded for structuring transactions in a tax-efficient manner that ensures compliance while optimizing value for clients. She has drafted and negotiated a wide spectrum of commercial agreements, such as joint venture, shareholders’, share purchase, transfer and subscription agreements, franchising agreements, partnership deeds, distribution and supply contracts, and technology licensing arrangements such as SaaS agreements, as well as constitutional and governance instruments for companies and other corporate entities.

With extensive experience advising high-growth companies and startups across Kenya and East Africa, Jacklyne has guided clients through every stage of the growth cycle; from angel and accelerator financing to venture capital and private equity investments, cross-border restructurings, commercial joint ventures, exits, and private securities offerings. She has acted for both founders and investors to structure inbound and outbound investments, partnership arrangements, market entry strategies, governance, capital structuring, exit planning, and the day-to-day management of key commercial transactions.

As an Intellectual Property and Innovation Law practitioner, Jacklyne manages the registration, prosecution, and protection of patents, trademarks, service marks, utility models, industrial designs, and copyrights across multiple jurisdictions, including the East African region, ARIPO, OAPI, and WIPO.
